Terms and Conditions

Welcome to iDesign Solution, a platform providing website design, mobile apps, graphic design, digital marketing and web hosting services. These Terms and Conditions govern your use of our services, so please read them carefully. By accessing or using our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.

1.1. iDesign Solution offers website design, mobile apps, graphic design, digital marketing and web hosting services to individuals and businesses.

1.2. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

1.3. We strive to provide accurate and reliable services, but we do not guarantee that our services will be uninterrupted, timely, or error-free.

2.1. The Client must supply the Project Specifications to iDesign Solution in order for us to issue an accurate and binding quotation.

2.2. If the Client requires further assistance with creating Project Specifications, iDesign Solution is willing to assist.

2.3. Any Additional Work must be supplied as additional Project Specifications.

3.1. iDesign Solution quotations supplied are fixed unless the client requests additional changes over the specified quota. Additional charges will occur if additional changes are required.

3.2. Quotations are valid for 30 (thirty) working days from the date supplied.

3.3. Quotations do not include domains and hosting fees unless otherwise specified.

3.4. Our Terms & Conditions are linked to every quotation sent to the client.

4.1. Upon a Client signing the iDesign Solution Quotation, the Client acknowledges that they have read and accepted these Terms and Conditions.

5.1. The Client acknowledges acceptance of the Quotation and these Terms and Conditions by paying 50% of the total quoted South African Rand (ZAR) value as a deposit to iDesign Solution's stipulated bank and account details as provided

5.2. Products and/or services as described in the Quotation will only commence once the Client’s deposit has been confirmed as received by iDesign Solution, which will be reciprocated with a Statement allocating Payment to said Invoice, to the Client, when said funds are confirmed by iDesign Solution.

5.3. iDesign Solution commits to work expeditiously to complete the quoted products and/or services within the Project Specifications and time-frames indicated as per the Quotation(s).

5.4. In order to deliver these products and/or services within the projected time-frames, the Client’s cooperation is paramount.

5.5. iDesign Solution cannot be held responsible for delays outside of our control, including but not limited to equipment failure, Third Party Hosting Services, and internet connections.

5.6. iDesign Solution endeavours to make websites that perform well in current major browsers but cannot guarantee backward compatibility (i.e., functionality on older devices and software).

6.1. Deposits are non-refundable and non-negotiable.

6.2. Should the Client pay more than the required 50% Deposit, the balance is refundable within 10 (ten) calendar days should the Agreement be terminated by either party.

6.3. Any amount paid by the Client, greater than the 50% required Deposit, does not construe or imply any additional rights other than what is stipulated in these Terms and Conditions.

7.1. By providing text, images, and other data to iDesign Solution for use in the client’s brochure, website, or any other medium, the client affirms that they possess the necessary copyright and/or trademark permissions. The client retains ownership of these materials, or they belong to the rightful copyright or trademark owner.

7.2. When providing images, text, or any other data to iDesign Solution, the client authorizes iDesign Solution to utilize this material freely for design purposes and to include the designs in iDesign Solution’s portfolio, unless otherwise specified.

7.3. If iDesign Solution or the client provides an image, text, audio clip, or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement, or any other medium, believed to be copyright and royalty-free, but later discovered to have limitations on its usage, the client agrees to permit iDesign Solution to remove and/or replace the file as necessary.

7.4. The client undertakes to indemnify iDesign Solution completely and ensure its protection from any claims arising due to the client's failure to secure all necessary copyrights and permissions.

7.5. iDesign Solution reserves the right to utilize any artwork or design for its promotional purposes and inclusion in its portfolio

7.6. Copyright of all graphic design work is retained by iDesign Solution, including copy, concepts, ideas, proofs, and illustrations (unless specifically released in writing), until after all invoices have been settled.

8.1. To ensure all customers receive equitable access to network resources, iDesign Solution implements a fair use policy.

8.2. During periods of high usage, iDesign Solution's fair use policy may limit the connection speed of customers who disproportionately utilize network resources.

8.3. iDesign Solution will monitor each customer's monthly download and upload volume to identify those with disproportionate usage patterns. Usage calculations will reset monthly.

8.4. iDesign Solution's fair use policy solely restricts connection speed and does not impose limits on broadband connection time or overall data transfer for any customer.

8.5. iDesign Solution will not be held liable for any losses or damages incurred by customers or third parties due to speed restrictions enforced under its fair use policy.

9.1. Should the Client cancel the project at any time, all fees up to that point of work will be calculated. Any amount exceeding the 50% deposit will be invoiced to the Client, payable within 7 (seven) calendar days of the Invoice date.

9.2. iDesign Solution will only refund amounts paid by the Client that exceed the 50% deposit for products and/or services not delivered.

9.3. Hosting and Domain Fees are non-refundable, as they are paid in advance.

9.4. If the client pays for hosting for the year, a 2-month refund will be issued only, as this payment is made in advance and cannot be fully refunded.

9.5. iDesign Solution reserves the right, at its discretion, to terminate this Agreement if the Client breaches any of the Terms and Conditions outlined herein.

10.1. iDesign Solution does not provide any warranties, whether express or implied, for the products and/or services it supplies.

10.2. iDesign Solution shall not be liable for any damages arising from the products and/or services it provides.

10.3. While iDesign Solution will diligently investigate any unsatisfactory results and rectify issues where possible, they cannot be held responsible for any consequential loss resulting from adhering to a client’s brief.

10.4. The client acknowledges that iDesign Solution shall not be held responsible for any such loss or damage.

10.5. Any claim against iDesign Solution shall be restricted to the relevant fee(s) paid by the client.

10.6. iDesign Solution retains the right to engage sub-contractors, agents, and suppliers for services, and any work, content, services, and usage is subject to their respective Terms and Conditions.

10.7. iDesign Solution commits to avoiding any actions that would contravene these terms, and the client also agrees to be bound by them.

11.1. These Terms are governed by the laws of the Republic of South Africa, and you consent to the jurisdiction of the South African courts. If any provision of these Terms is deemed unlawful, void, or unenforceable by a competent court in the Republic of South Africa, that provision shall be severed from these Terms without affecting the validity and enforceability of the remaining provisions.

12.1. iDesign Solution reserves the right to update or modify these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting on our website. Continued use of our services after any such changes shall constitute your consent to such changes.
